1. Acceptance of Terms
In Plain English. Use Reconcile only if you accept these terms. If you use Reconcile for an organization, you must be authorized to do so.
These Terms of Service (the "Terms") form a binding agreement between you and the operator of the Reconcile online platform (the "Service"). In these Terms, "Reconcile," "we," "us," and "our" refer to the Service operator. "You" and "your" refer to the individual using the Service or, if you use the Service on behalf of an organization, that organization.
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will include that organization.
2. Services
In Plain English. Reconcile lets you upload datasets, configure matching rules, run reconciliations, and review results. Exports and paid features may require credits.
Reconcile is an online platform that helps users compare two datasets (such as CSV or spreadsheet files), configure matching keys and comparison fields, run reconciliation processes, and review results through the Service interface.
The Service may generate outputs such as mismatch summaries, missing-record lists, and exportable reports (collectively, "Outputs"). Certain features (including exports) may require the use of credits or payment as described below.
We may update, change, or discontinue portions of the Service from time to time. We will try to provide reasonable notice for material changes where practical, but the Service is provided on an "as available" basis.
3. Data Usage
In Plain English. Your files are yours. We use them only to run reconciliations and provide results. Do not upload data you do not have the right to use.
"Customer Content" means any files, datasets, text, or other content you upload to the Service, and any data derived from those uploads as part of the reconciliation process. You retain ownership of your Customer Content.
You represent and warrant that you have all rights and permissions necessary to upload and process Customer Content in the Service, including where Customer Content includes personal data or confidential information.
We may process Customer Content to provide and operate the Service, maintain security, prevent abuse, and provide support. We do not sell Customer Content. Our privacy practices are described in our Privacy Policy.
You are responsible for verifying reconciliation results before using them for business, accounting, reporting, compliance, or operational decisions. The Service helps identify differences between datasets, but it does not replace professional judgment or independent verification.
4. Billing & Fees
In Plain English. You can use many features for free, but exports and certain paid features require credits. Credits are non-refundable except where required by law.
Reconcile may offer both free and paid features. Paid features may require the purchase and use of credits. Credit prices, packaging, and what features consume credits may be displayed in the Service or on a pricing page and may change over time.
Credits. Credits are a prepaid balance that may be used to access certain paid features (for example generating exports such as PDF summaries or downloadable CSV/XLSX files). Unless otherwise stated, credits are not legal tender, have no cash value, and are non-transferable.
Payments and processors. Payments may be processed by a third-party provider or Merchant of Record (MoR). Where a MoR is used, your purchase may be subject to the MoR's terms in addition to these Terms. Reconcile does not store full payment card details on its servers.
Taxes. Prices may exclude taxes unless stated otherwise. You are responsible for any taxes, duties, or charges that may apply to your purchases, except where a Merchant of Record collects and remits applicable taxes as part of the transaction.
No refunds. Except where required by law, purchases of credits and fees are non-refundable once processed. If we detect fraud, chargebacks, or abusive behavior, we may suspend your account and invalidate credits in accordance with applicable law.
5. Limitation of Liability
In Plain English. We provide Reconcile "as is." You are responsible for how you use results. If something goes wrong, our liability is limited.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
RECONCILE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECONCILIATION OUTPUTS WILL BE COMPLETE OR ACCURATE FOR YOUR PARTICULAR USE CASE. YOU ARE RESPONSIBLE FOR VALIDATING RESULTS BEFORE RELYING ON THEM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RECONCILE OR ITS AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECONCILE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO RECONCILE (OR OUR PAYMENT PROVIDER OR MERCHANT OF RECORD, AS APPLICABLE) FOR PAID FEATURES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
6. Termination
In Plain English. You can stop using Reconcile anytime. We may suspend accounts that break the rules or abuse the service.
You may stop using the Service at any time. We may suspend or terminate access to the Service (including disabling accounts) if we reasonably believe: (a) you violated these Terms; (b) your use poses a security risk; (c) your use could expose us or others to liability; (d) your use is fraudulent or abusive; or (e) we are required to do so by law.
Upon termination, your right to access the Service will end. You may lose access to Customer Content stored in the Service unless you export or delete it beforehand. Where required by law, we will provide reasonable access to retrieve your content for a limited time.
Sections that by their nature should survive termination will survive, including billing and fees, disclaimers, limitation of liability, and any other provisions intended to remain in effect.
