1. Acceptance of Terms

Summary: Use Reconcile only if you accept these terms. If you use Reconcile for an organization, you must be authorized to do so on their behalf.


These Terms of Service (the "Terms") form a binding agreement between you and Vicky Joseph, operating Reconcile (the "Service") available at reconcileonline.com and app.reconcileonline.com. In these Terms, "Reconcile," "we," "us," and "our" refer to Vicky Joseph as operator of the Service. "You" and "your" refer to the individual using the Service or, if you use the Service on behalf of an organization, that organization.

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of England and Wales.

2. The Service

Summary: Reconcile lets you upload two files, confirm a match key, run a reconciliation, and get a structured report. Certain features require credits or a paid plan.


Reconcile is an online platform that allows users to upload two datasets — CSV, Excel, or JSON files — confirm a matching key, run a reconciliation process, and review results through the Service interface at app.reconcileonline.com.

The Service generates outputs including matched rows, unmatched rows, discrepancy summaries, and exportable reconciliation reports ("Outputs"). Certain features including report exports require credits or a paid subscription plan as described in Section 5. Current pricing is published at reconcileonline.com/pricing and forms part of these Terms.

We may update, change, or add features to the Service over time. We will provide at least 14 days notice for any material changes that affect paid features. The Service is otherwise provided on an "as available" basis.

3. Data Usage

Summary: Your files are yours. We use them only to run your reconciliation. We never sell your data or use it to train AI models. Do not upload data you do not have the right to process.


"Customer Content" means any files or datasets you upload to the Service and any outputs generated from those uploads as part of your reconciliation. You retain full ownership of your Customer Content.

You represent and warrant that you have all rights and permissions necessary to upload and process Customer Content in the Service, including where it contains personal data or confidential information belonging to third parties such as your clients.

We process Customer Content only to provide and operate the Service, maintain security, and provide support. We do not sell Customer Content. We do not use Customer Content to train AI models or improve algorithms. Uploaded files are deleted from our servers immediately after your report is generated and in all cases within 24 hours of upload.

You are responsible for verifying reconciliation results before using them for business, accounting, reporting, compliance, or operational decisions. The Service identifies differences between datasets but does not replace professional judgment or independent verification.

4. Acceptable Use

Summary: Use Reconcile for legitimate reconciliation work. Do not misuse the platform or upload data you do not have the right to process.


You agree not to:

  • Upload files or data that you do not own or do not have explicit permission to process.
  • Attempt to reverse-engineer, decompile, or extract the source code or underlying logic of the Service.
  • Use the Service for any illegal purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or other customers' data.
  • Use automated tools to scrape, crawl, or extract data from the Service without prior written permission.
  • Upload files containing malware, viruses, or any malicious or harmful code.
  • Resell, sublicense, or provide access to the Service to third parties without prior written permission.
  • Attempt to circumvent credit consumption or exploit the free run allowance through repeated account creation or other means.

We reserve the right to suspend or terminate accounts that violate these rules in accordance with Section 8.

5. Billing and Refunds

Summary: Your first two runs are free. After that, you pay per run using credit packs, or subscribe to the Teams plan. All payments are processed by Lemon Squeezy as Merchant of Record. Unused credits are refundable within 30 days of purchase. Teams subscribers can cancel anytime and receive a prorated refund for unused days.


Merchant of Record.

All payments for Reconcile are processed by Lemon Squeezy (Lemon Squeezy Limited), our Merchant of Record. When you purchase credits or a subscription, your contract of purchase is with Lemon Squeezy, not with Reconcile directly. Lemon Squeezy handles payment processing, tax collection and remittance, and refund processing. Your payment will appear as a charge from Lemon Squeezy on your bank or card statement. Lemon Squeezy's terms apply to all transactions in addition to these Terms.

Free runs.

Your first two reconciliation runs are free with no credit card required. Free runs include the full Service — up to 10 million rows per file, a full reconciliation report, and the audit dashboard.

Credit packs.

Credits are a prepaid balance used to run paid reconciliations and generate report exports. Credits have no cash value outside the platform and are non-transferable between accounts.

Current credit pack pricing:

  • 1 run — $12
  • 5 runs — $49
  • 15 runs — $119
  • 40 runs — $249

Credit pack prices are honored at the price paid at the time of purchase. Future price changes do not affect credits already purchased.

Credits do not expire.

Credit refunds.

Unused credits — credits that have not been consumed by any run — may be refunded within 30 days of purchase by contacting support@reconcileonline.com. We will verify the number of unused credits and submit the refund through Lemon Squeezy. Lemon Squeezy will process the refund to your original payment method. Credits that have been consumed by a completed run cannot be refunded.

Teams subscription.

The Teams plan is a monthly subscription billed at $149 per month. The subscription renews automatically each month unless cancelled.

You may cancel your Teams subscription at any time from your account settings. When you cancel, you will receive a prorated refund for the unused portion of your current billing period, calculated to the day. To request a prorated refund, contact support@reconcileonline.com with your cancellation date. We will calculate the refund amount and submit it through Lemon Squeezy. Lemon Squeezy will process the refund to your original payment method within 5 to 10 business days.

We will notify subscribers at least 30 days in advance of any changes to the Teams subscription price.

Taxes.

Lemon Squeezy collects and remits all applicable taxes as Merchant of Record. The price shown at checkout is the price you pay, inclusive of any applicable taxes handled by Lemon Squeezy.

Fraud and abuse.

If we detect fraudulent activity, chargebacks, or abuse of the free run allowance, we reserve the right to suspend your account and invalidate any associated credits in accordance with applicable law.

6. Result Retention

Summary: Your uploaded files are always deleted within 24 hours. Your reconciliation results stay in your workspace forever by default. You control how long they are kept. If your results are automatically deleted and you have not saved them, you will need to rerun to get them back — this uses credits.


Uploaded files.

Uploaded files are deleted from our servers immediately after your reconciliation report is generated. A hard-delete process runs every 24 hours. No uploaded file remains on our servers for more than 24 hours under any circumstances.

Reconciliation results.

Reconciliation results — matched rows, unmatched rows, discrepancy summaries, and exports — are stored in your workspace indefinitely by default. You can:

  • Set an automatic deletion schedule of your choice — for example, delete results after 30, 60, or 90 days.
  • Delete individual results manually at any time from within the Service.

If your automatic deletion schedule runs and you have not downloaded your results, those results are permanently deleted with no possibility of recovery. To obtain those results again, you must re-upload your original files and run a new reconciliation. This new run will consume credits at the standard rate. Reconcile is not responsible for results deleted according to your own retention settings.

We strongly recommend downloading and saving your reconciliation results before setting aggressive automatic deletion schedules.

7. Limitation of Liability

Summary: We built Reconcile in good faith and work hard to make it reliable. You are responsible for verifying results before acting on them. Our liability is limited.


THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECONCILE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

RECONCILE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RECONCILIATION OUTPUTS WILL BE COMPLETE OR ACCURATE FOR YOUR PARTICULAR USE CASE. YOU ARE RESPONSIBLE FOR VERIFYING RESULTS BEFORE USING THEM FOR BUSINESS, ACCOUNTING, REPORTING, COMPLIANCE, OR OPERATIONAL DECISIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECONCILE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID FOR THE SERVICE IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.

IN NO EVENT WILL RECONCILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable UK law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Termination

Summary: You can stop using Reconcile at any time. We may suspend or terminate accounts that violate these Terms or pose a security risk.


You may stop using the Service at any time by cancelling your subscription or ceasing use of the platform. Cancellation and refund terms for the Teams plan are described in Section 5.

We may suspend or terminate your access to the Service if we reasonably believe: (a) you have violated these Terms or the Acceptable Use policy in Section 4; (b) your use poses a security risk to the Service or to other users; (c) your use could expose Reconcile or others to legal liability; (d) your use is fraudulent or abusive; or (e) we are required to do so by applicable law.

Where practical, we will provide notice before suspension or termination and an opportunity to resolve the issue. In cases of serious violation, fraud, or security risk, we may suspend access immediately.

Upon termination, your right to access the Service ends. You may lose access to reconciliation results stored in your workspace. We recommend exporting all results you wish to keep before closing your account. Where required by applicable law, we will provide reasonable access for a limited period to retrieve your content.
